Founder Program Terms (Working Draft)

This document is a working draft for internal coordination only. It is not intended for publication and does not constitute a contractual basis without prior legal review. The Founder Unit structure and the associated rights are not yet finally defined and have not yet been legally reviewed.
These terms and conditions (the “Founder Terms”) govern participation in the Founder Program of Global Ventures Ecosystem LLC. They describe the nature of the program, the role of the Founder Unit and the mutual rights and obligations.
1. Scope and Contracting Parties
These Founder Terms apply between Global Ventures Ecosystem LLC, a Limited Liability Company organized under the laws of the State of Wyoming, United States, Wyoming Original ID 2026-002055329, 30 N Gould St #4354, Sheridan, Wyoming 82801, United States (“GVE”), and the natural or legal person participating in the Founder Program (the “Founder”).
By participating in the Founder Program, the Founder accepts these Founder Terms as binding.
2. The Founder Program — Description and Nature
The Founder Program is a participation and membership initiative of the Global Venture Ecosystem. It connects international entrepreneurs, founders and visionaries with the shared goal of building a long-term venture ecosystem.
The Founder Program is expressly not an investment product, not a capital investment and not a financial instrument. It serves co-creation and belonging, not capital growth.
3. The Founder Unit — Definition and Rights
The Founder Unit is the contractual participation and membership unit of the program. It expresses the Founder's role as an early participant and co-creator of the ecosystem.
The Founder Unit grants in particular:
- the role of an early participant and co-creator of the ecosystem,
- belonging to an international Founder community,
- access to strategic information and updates,
- access to future ecosystem projects, services and infrastructure at GVE's discretion.
4. Rights Expressly Not Granted
On its own, Founder status conveys no present economic claims. In particular, the following are currently not granted:
- no participation in the capital, profit or assets of GVE or its projects,
- no claims to profit, returns, interest or distributions,
- no earnings guarantees and no financial promises of any kind,
- no voting, control or shareholder rights,
- no claims to repayment of contributions made, to the extent permitted by law.
5. Services Provided by GVE
GVE endeavours to provide Founders with the services described in the program. These include, in particular, admission to the ecosystem, access to the Founder community, networking opportunities, strategic updates and access to future services and infrastructure.
The nature, scope and timing of the services may change as the ecosystem develops. A legal entitlement to a specific service exists only where expressly agreed.
6. Founder Obligations and Standards of Conduct
Founders commit to respectful, honest and law-abiding conduct within the community and towards GVE, its partners and projects.
Confidential information must be treated confidentially. Founders shall refrain from any action that harms the reputation or interests of the ecosystem.
7. Term and Termination
Participation in the Founder Program begins upon admission by GVE and runs for an indefinite period unless otherwise agreed.
Both parties may end participation subject to reasonable notice. GVE may terminate participation with immediate effect in the event of serious breaches of these Founder Terms.
8. Limitation of Liability and Disclaimer
Global Ventures Ecosystem LLC makes no investment promises, no ROI claims and no earnings claims. The projects and services shown describe fields of activity and interest only.
GVE's liability is limited to intent and gross negligence, to the extent permitted by law. No warranty is given for future developments of the ecosystem.
9. Data Protection and Confidentiality
GVE processes Founders' personal data in accordance with the applicable United States privacy laws and GVE's privacy policy.
Information marked as confidential within the program, or confidential by its nature, may not be disclosed to third parties.
10. Governing Law and Jurisdiction
These Founder Terms are governed by the laws of the State of Wyoming, United States, without prejudice to mandatory consumer protection provisions. The courts located in the State of Wyoming shall have exclusive jurisdiction.
Mandatory consumer protection provisions of the Founder's country of residence remain unaffected.
11. Transferability and Inheritance (Working Draft)
Founder Units may generally be transferred to another person. Details, conditions and procedures are governed by the Founder Terms applicable to the respective Founder.
In the event of an intended transfer, GVE must be informed in advance. GVE has a right of first refusal: GVE may exercise the intended transfer within thirty (30) calendar days of notification. If the right of first refusal is not exercised within the prescribed period, the intended transfer may be carried out in accordance with these Founder Terms.
The receiving person assumes the role of the Founder and the Founder Terms applicable to the respective Founder.
Founder Units are inheritable within the framework of these Founder Terms.

12. Further Development, Adjustment and Possible Discontinuation of the Program (Working Draft)
The Founder Program is an evolving undertaking. Global Ventures Ecosystem LLC continuously develops it further and may adjust or develop program processes, organisational components and non-material content within the framework of these Founder Terms and – where this becomes necessary – discontinue the program.
Any such further development, adjustment or discontinuation is carried out in a manner that is comprehensible to Founders and does not cause already established legal positions of Founders to lapse arbitrarily or without an appropriate basis.
Material changes to the rights and obligations of Founders may not be made unilaterally but require an appropriate legal basis or – where necessary – the consent of the affected Founders.

13. Continuity of Rights for Existing Founders (Working Draft)
Founder Units already documented and the rights accepted upon admission remain valid and are not worsened by any further development, adjustment or discontinuation of the program. A later further development does not cause already admitted Founders to lose their previously applicable rights or obligations, nor does it change these retroactively.
Authoritative shall remain the Founder Terms and agreements applicable to the respective Founder, unless expressly agreed otherwise or legally required.
Material changes to the rights and obligations of already admitted Founders require an appropriate legal basis or – where necessary – the consent of the affected Founders; they are not made unilaterally or automatically.

14. Final Provisions and Contact
Should individual provisions of these Founder Terms be invalid, the validity of the remaining provisions shall remain unaffected. GVE may amend these Founder Terms with effect for the future and will inform Founders of material changes.
